1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website at www.xunkerecycling.com (the "Site"), operated by Henan Jiacui Intelligent Equipment Co., Ltd. ("JIACUI", "we", "our" or "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

A binding sales contract is formed only when both parties have signed a formal sales contract or purchase order that expressly states the agreed technical specification, price, delivery terms, payment terms and warranty scope. Until such a signed document exists, JIACUI may revise or withdraw any commercial terms at any time.

5. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, photos, videos, audio clips, data compilations, and software — is the property of JIACUI or its licensors and is protected by applicable copyright, trademark and other intellectual-property laws. Where liability cannot be lawfully excluded, JIACUI's aggregate liability shall be limited to the amount you have actually paid (if any) for the specific service giving rise to the claim, or USD 100, whichever is greater.

12. Force Majeure

JIACUI shall not be liable for any delay or failure to perform obligations under a signed sales contract where such delay or failure is caused by events beyond its reasonable control, including without limitation acts of God, government actions, war, terrorism, civil unrest, epidemics, port or customs delays, supplier failures, freight disruptions, or power or internet outages.

13. Governing Law and Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the People's Republic of China (excluding conflict-of-laws rules). The parties shall first attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved within 60 days, either party may submit the dispute to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Zhengzhou in accordance with its then-effective arbitration rules. The arbitration award shall be final and binding on both parties.

14. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

15. Changes to these Terms

We may revise these Terms from time to time. The "Last updated" date at the bottom of this page indicates when the latest revisions took effect. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the revised Terms.
